Terms of Service

Welcome to Pokit Note. These Terms of Service ("Terms") are a legal agreement between you and BotRelay LLC, a North Carolina limited liability company ("BotRelay," "Pokit Note," "we," "us," or "our"). They govern your Pokit Note account and your use of the Pokit Note service, including the Pokit Note website at https://pokitnote.com, our servers, the Pokit Note MCP connector, the connection to your AI assistant, and related services (together, the "Service"). The Pokit Note iPhone app itself is licensed to you under Apple's Standard EULA, as described in Section 10.
Please read these Terms carefully. By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you don't agree, don't use the Service.
Important summary (not a substitute for the full Terms):
- Free trial, then $30 a year. Pokit Note includes a free 30-day trial, then an annual subscription at $30 per year, sold and billed only through the Apple App Store. (Section 4.)
- Your assistant is your choice. If you connect a third-party AI assistant, it can read and change your lists, notes, and recipes. We aren't responsible for what your assistant does or for its terms. (Section 5.)
- You own your content. You give us only the limited rights we need to run the Service. (Section 6.)
- Account deletion is permanent. When you delete your account, your content is deleted from our live database right away and can't be recovered. Residual copies remain in database backups for up to 7 days and in server logs for up to 30 days. (Section 11.)
- Disputes are resolved by individual binding arbitration, and you waive class actions, unless you opt out within 30 days. (Section 16.)
1. Who Can Use Pokit Note
You must be at least 18 years old, or the age of majority where you live if that is higher, to use the Service. The Service is not intended for anyone under 18. If you use the Service on behalf of a company or other organization, you confirm that you have authority to bind it to these Terms, and "you" includes that organization.
The Service is offered only to users in the United States, and the Pokit Note iPhone app is available only on the United States App Store. You may not use the Service if you are barred from doing so under U.S. law, if you are located in a country or region subject to comprehensive U.S. sanctions, or if you are on a U.S. government list of restricted parties.
2. The Service
Pokit Note is an iPhone app for to-do lists, shopping lists, notes, and recipes. Its main feature is working with your own AI assistant: you can connect an assistant (Grok Bot today; others coming soon), share links and photos to it from your iPhone share sheet, send it notices when you change your lists in the app, and let it read and edit your content through the Pokit Note MCP connector. There is no Pokit Note Android app.
Your lists, notes, and recipes live in the iPhone app. The Pokit Note website does not show or store lists, notes, or recipes. It is used only for signing in, managing your account, sessions, and password, setting up your assistant, contacting support, and deleting your account.
We store your content and a limited amount of other information, as described in our Privacy Policy.
We're continually improving the Service, and features may change over time (see Section 15). Some features may be labeled beta, preview, or "coming soon." They're provided as-is, may change or be discontinued, and may be less reliable than the rest of the Service.
3. Your Account
Accurate information. You create an account with a valid email address that you control and a password. You must keep your email address current. You must confirm your email address to finish signing up; if you don't, the unconfirmed account is deleted within 3 days and you'll need to sign up again. We use your email for account confirmation, password resets, security notices, and support. If you lose access to it, you may miss important notices or be unable to reset your password.
Keep your password safe. Choose a strong password, don't reuse it from other services, and don't share it. If you turn on Face ID in the iPhone app, Face ID unlocks a sign-in key stored in your iPhone's Keychain. Face ID is handled by Apple on your device, and nothing biometric leaves your phone.
One person per account. Your account is for you. Don't share your sign-in credentials with anyone else.
Account activity. You're responsible for all activity under your account, including activity by any assistant you connect, except to the extent caused by our breach of these Terms.
Tell us about problems. If you believe your account or a signed-in device has been compromised, change your password, sign out any sessions you don't recognize, and notify us at support@botrelay.ai with the subject "Security incident."
4. Free Trial and Subscription
Free trial. New subscribers get a free 30-day trial. Before your trial ends, you'll be told when it ends and what you'll be charged, and you can cancel before the trial ends to avoid being charged.
Annual subscription. After the trial, Pokit Note costs $30 per year. Your subscription renews automatically each year at the then-current price unless you cancel at least 24 hours before the renewal date.
Sold only through the App Store. Subscriptions are sold only as an in-app purchase through the Apple App Store and are billed to your Apple ID account. Your purchase is subject to Apple's terms and policies, including those for billing, free trials, renewal, cancellation, and refunds. You manage and cancel your subscription in your Apple ID account settings. Apple, not BotRelay, handles payment and refunds; refund requests go to Apple. Deleting the app or your Pokit Note account does not cancel your subscription; cancel it in your Apple ID settings.
Price changes. If we change the subscription price, you'll be notified before the new price applies to you, and you can cancel before then.
5. Connecting Your AI Assistant
Your choice. Connecting an AI assistant is optional. You choose whether to connect a third-party assistant, which assistant to connect, and what it can do. Connecting an assistant has two steps:
- Webhook. You enter your assistant's webhook URL and, optionally, an authorization header in Pokit Note. Pokit Note issues a signing secret so your assistant can verify that messages come from us. You can rotate the signing secret at any time.
- MCP connector. You approve your assistant's access to the Pokit Note MCP connector through an OAuth authorization screen.
What your assistant can do. Once connected, your assistant can read and change your lists, list items, notes, and recipes through the MCP connector, for example by adding, editing, or completing items. Pokit Note will also send your assistant the links and photos you share from your iPhone (with any note or prompt you add, and your iPhone model name) and, unless you turn them off, notices when you change your lists in the iPhone app. You can turn off shares for each assistant, and you can switch off change notices per item or entirely. Details are in our Privacy Policy.
Your assistant is not part of Pokit Note. Your assistant is a third-party service operated by someone else. We don't control it, and we aren't responsible for what it does, including any changes or deletions it makes to your content, any actions it takes based on your content or shares, any mistakes or unexpected behavior, or how it uses, stores, or shares data it receives. AI assistants can make mistakes and can be influenced by content they read (for example, text on a web page you share). You're responsible for reviewing your assistant's actions and for the instructions you give it.
Its terms apply. Your use of your assistant is governed by that assistant's own terms and privacy policy, not these Terms. We aren't responsible for those terms or for the assistant provider's practices. Please review them before connecting.
Keep your connection details safe. Treat your webhook URL, authorization header, and signing secret as secrets. If you think they've been exposed, change them with your assistant provider, update them in Pokit Note, and rotate your signing secret.
6. Your Content
You own your content. "Your Content" means the lists, list items, notes, recipes, "recently bought" items, due dates, flags, links, photos, notes and prompts, support messages, and other material you or your connected assistant submit to the Service. You keep all rights to it.
Our limited license. You grant BotRelay a limited, worldwide, non-exclusive, royalty-free license to host, store, copy, process, transmit, and display Your Content only as needed to operate, provide, secure, and support the Service for you, including sending Your Content to your connected assistant at your direction. We don't use this license to sell Your Content, advertise with it, make it public, or train artificial-intelligence models. The license ends when Your Content is deleted from the Service, except as needed to complete deletion (including the limited time residual copies remain in backups and logs).
Your responsibility. You're responsible for Your Content and for having the rights to it, including the rights to any photos you share. Don't submit content you don't have the right to share.
Keep your own copies. We work to keep the Service reliable, but you're responsible for keeping your own copies of content that's important to you. Pokit Note doesn't offer a data export tool. Shared photos, share records, and "recently bought" items are deleted automatically after a set time, as described in our Privacy Policy.
7. Acceptable Use
You agree not to, and not to allow any assistant, automated tool, or other person to:
- use the Service to break the law, or to store or share content that is illegal, infringes others' rights, or is harassing, threatening, or abusive;
- use the Service to commit fraud, gain unauthorized access to any system or account, or distribute malware, phishing links, or spam;
- use bots, scripts, or other automated means to abuse the Service's forms or endpoints, including mass or automated signups, credential stuffing or password-guessing on sign-in, repeated password-reset requests, or spam or automated submissions through the support form;
- probe, scan, or test the vulnerability of the Service, or bypass authentication, rate limits, or other security measures, except for good-faith security research reported to us as described below;
- interfere with or disrupt the Service or its infrastructure, including by sending excessive requests beyond reasonable use;
- access the Service through any means other than our published interfaces (the iPhone app, the website, the Pokit Note MCP connector, and webhooks you configure), or scrape the Service;
- reverse engineer or decompile the Service, except to the extent applicable law expressly allows it;
- resell, sublicense, or provide the Service to third parties as a hosted service, except as we expressly allow in writing; or
- impersonate any person or entity, or register with an email address you're not authorized to use.
Reporting security issues. Please report security vulnerabilities by emailing support@botrelay.ai with the subject "Security report." We won't pursue legal action against researchers who act in good faith, avoid harming users or their data, and give us a reasonable chance to fix the issue before disclosing it.
8. Our Intellectual Property; Feedback
The Service, including its software, design, logos, and the "Pokit Note" name, is owned by BotRelay and its licensors and is protected by intellectual-property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to use the Service for your personal use. Your license to the iPhone app itself is granted under Apple's Standard EULA (Section 10). Some components may be provided under separate open-source licenses, which govern those components where they apply.
If you send us ideas, suggestions, or feedback, you allow us to use them for any purpose without obligation to you.
9. Third-Party Services
The Service works with third-party tools and services, such as your connected AI assistant, the apps you share from, the websites you link to, and Apple's App Store, in-app purchase system, and Face ID. We don't control and aren't responsible for third-party services, their content, their availability, or how they handle your data. Your use of them is governed by their own terms and privacy policies.
10. iPhone App
App license. The Pokit Note iPhone app is licensed to you under Apple's Licensed Application End User License Agreement (the "Standard EULA"), available at https://www.apple.com/legal/internet-services/itunes/dev/stdeula/. The Standard EULA governs your license to download and use the app.
These Terms govern the Service. These Terms govern your Pokit Note account and the Pokit Note service, including the website, our servers, the MCP connector, and the connection to your AI assistant.
Apple's role. Apple is not a party to these Terms and has no responsibility for the Service or for providing support for it. Questions and support requests about Pokit Note should come to us (see Section 19).
If they conflict. If the Standard EULA and these Terms conflict, the Standard EULA controls for the license to the iPhone app, and these Terms control for the Service and your account.
Governing law and liability. The Standard EULA has its own governing-law terms (California law, as stated in the Standard EULA) and its own limitation of liability for the app license. Those apply to the app license. These Terms, including North Carolina governing law (Section 17), the disclaimers (Section 12), and the limitation of liability (Section 13), apply to the Service.
11. Account Deletion, Suspension, and Termination
By you. You can stop using the Service at any time. You can delete your account in the iPhone app or on the website. Deletion is immediate and permanent and can't be undone. It removes your account, lists, notes, recipes, connected assistants and their access, shares and shared photos, sessions, and support messages from our live database, as described in our Privacy Policy. Copies may remain in our database backups for up to 7 days and in our server logs for up to 30 days until they are deleted in the normal course; we don't restore deleted accounts from them. Before deleting your account, copy anything you want to keep; Pokit Note doesn't offer a data export tool. Deleting your account doesn't delete data that was already sent to your connected assistant; contact your assistant's provider for that. Deleting the app from your phone does not delete your account, and neither one cancels your App Store subscription (see Section 4).
By us. We may suspend or terminate your access if you materially breach these Terms, if your use creates a security risk or legal exposure for BotRelay or others, if required by law, or if we discontinue the Service. Where reasonable and legally allowed, we'll give you notice and a chance to fix the problem first, and a reasonable opportunity to copy content you want to keep. We may act immediately without notice if needed to prevent serious harm or respond to a security emergency.
If we discontinue the Service entirely, we'll give you at least 30 days' notice so you can copy any content you want to keep.
Effect of termination. When your account ends, your right to use the Service ends, and we'll delete your data as described in these Terms and our Privacy Policy. Sections that by their nature should survive (including Sections 5, 6, 8, 9, 10, and 12 through 18) will survive.
12. Disclaimers
We work hard to keep Pokit Note secure and available, but to the fullest extent permitted by law, the Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We don't warrant that the Service will be uninterrupted, error-free, or completely secure, that it will meet your requirements, that notices or shares will always be delivered to your assistant, or that data will never be lost. Warranties and disclaimers for the iPhone app license are covered by the Standard EULA (Section 10).
You understand that: (a) no security system is unbreakable; (b) the security of your account depends in part on your password and the devices where you use the Service, which are outside our control; and (c) AI assistants may behave unpredictably or make mistakes, and we're not responsible for their actions.
Some jurisdictions don't allow certain warranty disclaimers, so some of these may not apply to you.
13. Limitation of Liability
This Section applies to the Service. Liability relating to the iPhone app license is governed by the Standard EULA (Section 10). To the fullest extent permitted by law:
BotRelay and its owners, officers, employees, contractors, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or relating to these Terms or the Service, however caused and under any theory of liability, even if we've been advised of the possibility of such damages.
Without limiting the above, we are not liable for loss or change of your content resulting from the actions of your connected assistant or other third-party services, from compromised passwords or devices, or from data deleted in accordance with these Terms or our Privacy Policy (including account deletion and the automatic deletion of shares, shared photos, and "recently bought" items).
Our total liability for all claims arising out of or relating to these Terms or the Service will not exceed the greater of (a) the amounts you paid for the Service in the 12 months before the event giving rise to the claim, or (b) US $50.
These limitations apply even if a remedy fails of its essential purpose. They don't limit liability that can't be limited under applicable law, such as liability for fraud, gross negligence, or willful misconduct where the law doesn't allow it to be limited. Some jurisdictions don't allow these limitations, so they may not fully apply to you.
14. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless BotRelay and its owners, officers, employees, and contractors from any third-party claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of: (a) your use of the Service, including through your connected assistant; (b) Your Content; (c) your violation of these Terms; or (d) your violation of any law or the rights of any third party. We'll notify you of any such claim and let you control the defense, although we may participate with our own counsel at our expense. This Section doesn't apply to consumers where prohibited by law.
15. Changes to the Service and These Terms
Service changes. We may add, change, or remove features, including which AI assistants can be connected.
Changes to these Terms. We may update these Terms. For material changes, we'll notify you by email or in the Service at least 30 days before they take effect. If you keep using the Service after the changes take effect, you accept them. If you don't agree, stop using the Service, cancel your subscription in your Apple ID settings, and delete your account before the changes take effect. Changes to Section 16 won't apply to disputes that arose before the change.
16. Dispute Resolution
16.1 Informal resolution first. Before filing any claim, you and we agree to try to resolve the dispute informally. Send a written notice describing the dispute and the relief you want to support@botrelay.ai with the subject "Dispute notice" (or, for us, to your account email). If we can't resolve it within 60 days, either of us may proceed as described below.
16.2 Binding individual arbitration. Except as provided in Section 16.4, any dispute arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court. The hearing will take place by video conference or telephone, or in person in the county where you live. Payment of filing and arbitrator fees will be governed by the AAA's rules, and we will pay any fees above those you'd pay to file in court. The Federal Arbitration Act governs this Section.
16.3 Class action waiver. You and BotRelay may bring claims against each other only individually, and not as a plaintiff or class member in any class, collective, or representative action. The arbitrator may not consolidate claims or preside over any representative proceeding.
16.4 Exceptions. Either of us may bring an individual claim in small-claims court if it qualifies. Claims about the infringement, misuse, or validity of intellectual-property rights are not subject to arbitration and may be brought in court under Section 17.
16.5 Opt-out. You may opt out of arbitration by emailing support@botrelay.ai with the subject "Arbitration opt-out" within 30 days after you first accept these Terms, with your name, account email, and a clear statement that you're opting out. Opting out won't affect any other part of these Terms.
16.6 Severability. If the class action waiver is found unenforceable for any claim, that claim must be decided in court under Section 17, not in arbitration.
17. Governing Law and Venue
These Terms are governed by the laws of the State of North Carolina and applicable U.S. federal law, without regard to conflict-of-law rules. Any claim that isn't subject to arbitration under Section 16 (including if you opt out) will be decided in the state or federal courts located in North Carolina, and you and we consent to their jurisdiction. Either of us may still bring an individual claim in small-claims court if it qualifies. If you're a consumer, this doesn't deprive you of protections that apply under the mandatory laws of the state where you live. Apple's Standard EULA, which governs the iPhone app license, has its own governing-law terms (California law) for that license.
18. General Terms
Entire agreement. These Terms and our Privacy Policy are the entire agreement between you and BotRelay about the Service and replace any prior agreements on that subject. Your license to the iPhone app is governed by Apple's Standard EULA (Section 10).
Communications. You agree that we may send notices to your account email or through the Service, and that electronic notices satisfy any legal requirement for written notice. Service and security emails are part of the Service.
Assignment. You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, reorganization, or sale of assets, with notice to you.
Severability and waiver. If any provision is found unenforceable, the rest remains in effect, and the unenforceable provision will be modified to the minimum extent needed. Our failure to enforce a provision isn't a waiver.
Force majeure. We're not responsible for delays or failures caused by events beyond our reasonable control, including failures of third-party hosting, network, or AI assistant providers, natural disasters, and government actions.
Export and sanctions. You'll comply with U.S. export-control and sanctions laws in using the Service.
No third-party beneficiaries. These Terms don't give rights to anyone other than you and BotRelay. Apple's rights relating to the iPhone app are set out in the Standard EULA.
Independent parties. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship.
California users. Under California Civil Code § 1789.3, California users may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (800) 952-5210.
